Color 1000 press in its Boston area digital print center Westborough, Mass. As a result, clients in the Northeast can enjoy high-resolution digital

of this equipment, the Boston center will be able to produce more than 1,000,000 color images per month.

Workflow Management Inc. today announced the completion of its sale of United Envelope LLC and
Freedom Graphic Services, Inc. to an entity controlled by Palm Beach Capital, a private equity firm based
in Florida, for an undisclosed sum.
United Envelope is a leading manufacturer and provider of direct mail and transactional envelopes to a
wide variety of industries. Freedom Graphic Services is a regional print outsourcing and direct mail
services company. With over $100 million in revenue, these companies together represented less than
15 percent of Workflow Management's consolidated revenue.
Kenneth Bernstein, president and CEO of United Envelope, will continue leading the company under its new
ownership. Management of United Envelope participated in the buyout by Palm Beach Capital, joined by
envelope industry veterans Gerald Mahoney, Richard Schlanger and Bob Fishbein. "We are excited about

Workflow Management, Inc. Reaches Agreement with Lenders to
Amend Credit Agreement
Workflow Management, Inc., today announced that it has reached agreement with lenders to amend its
primary credit agreements. These amendments provide the company with enhanced liquidity and greater
financial flexibility as it continues to implement its transformation plan. The agreement includes revised loan
covenants that will give the company an opportunity to implement its transformation plan as well as
capitalize certain interest accruing to second lien lenders in order to improve its near-term liquidity. In
exchange, the company's second lien lenders will receive warrants to acquire a minority equity interest in
Workflow Management to share in the future value to be generated under the transformation plan. In
conjunction with these amendments, Workflow Management's lead equity sponsor, Perseus LLC, will also
make a further equity investment in the company.

Dean Truitt, who had previously served in the roles of vice president of operations and chief operating officer
of WorkflowOne, will become president and COO. In addition to his management responsibilities, Truitt will
continue to drive the transformation plan. He brings 28 years of experience in turnarounds, performance
improvement programs and merger integrations. He was previously with AlixPartners, a leading global
business advisory and turnaround firm, where he served in a number of interim senior management roles for
clients. Prior positions also include equity partner at Ernst & Young, CEO of Everfresh Products and
management consultant at Andersen Consulting.
Ernest A. Miller will join WorkflowOne as executive vice president of operations on May 11. Miller previously
served as vice president of global manufacturing and supply chain operations for NCR Corporation. Prior
positions include roles at McKinsey and Company, General Motors, and Cap Gemini Ernst & Young LLC.
As previously announced, Robert Whittington joined WorkflowOne last month as chief information officer.
Whittington recently served as senior vice president and CIO for Wendy's International, where he led a
successful restructuring effort that reduced costs and improved quality and service across the global chain's
6,000 restaurants prior to its acquisition by Triarc Companies, Inc., owner of Arby's.
